Partner Programme Terms
Version 2026-08-18. These are the terms you accept when you apply. They are written to be read rather than survived, and they say what each of us owes the other.

1. What the programme is
You introduce a business to Rialto Consulting. We do the work under our own name, at a price the client agrees before we start. If they buy, you are paid a share of what they spend.
There is no cost to take part, no minimum volume, no targets and no exclusivity in either direction. You may refer elsewhere, and you are never obliged to refer anyone.
2. Becoming a partner
Applications are read and approved by a person. Nobody is a partner until we say so, and we may decline an application without giving a reason. Approval gives you a referral code and a dashboard login.
We may pause or end a partnership at any time, and so may you, by telling the other in writing. Section 6 says what happens to money already earned.
3. What you are paid
The standard commission is 20% of what your referred client pays us, excluding GST. Your rate is recorded against your firm, and if we agree a different one, that is the rate that applies to you.
Commission applies to everything that client buys, not only their first purchase. That includes renewals of an ongoing engagement, for as long as they remain a client and this arrangement is on foot.
Commission is calculated on the amount actually received from the client, net of refunds, chargebacks and any discount applied.
4. When it is paid
Commission becomes payable 14 days after your client has paid, once the refund window has closed. A refund or a chargeback inside that window cancels the commission rather than creating a debt you owe back to us.
Cleared commission is paid in a monthly run, to the account recorded against your firm. Your dashboard shows what is clearing, what is payable and what has been paid.
5. Tax, ABN and GST
You are responsible for your own tax. Nothing in this programme makes you an employee, an agent, a partner in the legal sense, or an officer of Rialto Consulting.
Quote your ABN. Where an ABN is not quoted we may be required by law to withhold from the payment at the rate the law sets, and we will do so.
Commission figures are stated excluding GST. If you are registered for GST, GST is added to your commission and invoiced accordingly.
6. If the arrangement ends
If your partnership is paused or ended, commission that has already cleared is still paid.
Commission on future purchases and renewals by clients you introduced stops when the arrangement ends, unless we agree otherwise in writing. We will tell you before that happens rather than let you discover it from a statement.
Ending the arrangement does not release either of us from section 7.
7. Your clients
This is the part most firms want in writing, so it is the part written most plainly.
- We will not approach a client you introduced about anything you have not referred. No cross selling, no adding them to a marketing list, no conversations about work adjacent to yours.
- We will not position ourselves as a replacement for you. Your relationship is the reason the introduction had value.
- If a referral goes nowhere, that is the end of it. A dormant referral is not a lead we keep working.
- Where a question needs a specialist, including legal, tax, audit or valuation, we say so and send it back to you or to whoever is right for it.
In return, you agree to refer only businesses that are content to be introduced, and to pass us their details on that basis.
8. How a referral is attributed
Attribution runs in this order, and the first that applies wins:
- A referral you recorded in your dashboard, matched on the buyer’s email address.
- Your partner code, entered at checkout.
- Your tracked link, where the visitor still carries the cookie it set.
Where two partners could claim the same client, the earlier recorded referral wins. Where a business was already a client of ours, or was already in our own outreach before you referred them, no commission is payable. We will tell you when that happens rather than quietly not paying.
9. Privacy
When you refer someone you are giving us their contact details, so refer only people who are content to be introduced. We handle their information under our privacy policy and use it only for the introduction you made.
10. Changing these terms
We may revise these terms. The version you accepted is recorded against your firm and continues to apply to you until you accept a newer one. We will tell you when a version changes in a way that affects what you are paid.
11. General
Nothing here creates a partnership, joint venture, agency, employment or fiduciary relationship, and neither of us may hold the other out as having authority to bind them.
These terms are governed by the law of New South Wales, Australia.
